Before incorporating a company or opening a business account, you must obtain approval of your chosen company name from the Chamber of Commerce (Registro Mercantil). If the name is available, it will be reserved for your company for 3 to 6 months.
Onboarding
To begin your application, please click the link provided.
During the Legal Status step, select “Company in Formation.” Then choose your company’s legal form: S.L en formación or S.A. en formación
You will proceed through the standard Vivid Business onboarding flow. While it is largely the same as the regular Business onboarding, please note the following key differences:
Shareholder Information: You will need to complete an additional step to provide details about your shareholders. Please refer to this page to review our shareholder eligibility requirements.
Required Documents: The documents requested during the RFI stage differ from the standard process. Please check this page for the full list of required documents.
Identity Verification (IDV): All directors must successfully complete the identity verification process.
Deposit the Share Capital
Once your Founder Account is opened, the shareholders listed during the application stage can transfer the share capital using the account details provided for your Founder Account.
Regulations mandate a minimum deposit of 15,00 EUR for S.A. en formación and 1 EUR for S.L en formación. Keep in mind this is not a limitation imposed by Vivid Business.
Once you deposit the money, reach out to our support team through our chat feature and request the Certificado De Ingreso De Capital Social.
Provide the Registration Extract
Once the Founder Account has been opened, our team will request the official registration extract confirming the company’s incorporation. Your account review will remain pending until we receive and successfully verify this document.
Once is incorporated, provide the "Escritura de constitución", "Estatutos", "Certificado de Registro Mercantil" y Modelo 036 de Alta en la Agencia Tributaria.
You must provide the official registration extract within three months of opening the Founder Account. If the registration extract is not submitted within this timeframe, the Founder Account will be closed, and the initial deposit will be returned to the respective shareholders.

Account Activation
Once you submit the registration extract, our team will review the document. If all checks are successfully completed, your Founder Account will be converted into a General Business account. After the conversion, you will gain full access to all General Business account features, including the ability to use the initial deposit.
The review process takes up to three business days.
